These Terms of Use govern your access to and use of the website located at https://archifx.com, including any related pages, landing pages, subdomains, forms, portals, tools, applications, estimates, proposals, communications, digital systems, prototypes, dashboards, experimental software, client interfaces, analytics views, content management systems, and services provided by Archi FX LLC, a Florida limited liability company.

By accessing this website, submitting a form, requesting services, reviewing a proposal, using any Archi FX system, approving work, paying an invoice, or otherwise engaging with Archi FX LLC, you agree to be bound by these Terms of Use. If you do not agree with these Terms, you must not use this website, submit information, rely on any content, or use any service, software, system, or deliverable provided by Archi FX LLC.

These Terms apply to all visitors, prospects, clients, customers, users, contractors, vendors, and any other person or entity who accesses or uses this website or any Archi FX service.

1. Company Information

The website archifx.com is owned and operated by Archi FX LLC, referred to in these Terms as “Archi FX,” “Company,” “we,” “our,” or “us.”

Archi FX provides website design, website development, digital marketing, search engine optimization, content creation, hosting coordination, consulting, branding, graphic design, video, animation, software-assisted workflows, custom landing pages, custom backend tools, client dashboards, analytics systems, automation workflows, experimental software, and related digital services.

2. Acceptance of Terms

By using this website or any Archi FX service, you confirm that:

  • You are at least 18 years old.
  • You have the authority to enter into these Terms personally or on behalf of the business, organization, or entity you represent.
  • All information you provide to Archi FX is accurate, complete, and authorized.
  • You agree to comply with these Terms, all applicable laws, and any separate written agreement, proposal, invoice, estimate, service agreement, statement of work, or contract between you and Archi FX.
  • If you are using this website or engaging Archi FX on behalf of a company, organization, or client, you represent and warrant that you have authority to bind that company, organization, or client to these Terms.

3. Relationship Between These Terms and Other Agreements

These Terms govern general use of archifx.com and general access to Archi FX services, systems, tools, and digital properties.

If you have a signed contract, written proposal, statement of work, invoice terms, hosting agreement, maintenance agreement, advertising agreement, or other written agreement with Archi FX, that document may contain additional terms that also apply.

If there is a conflict between these Terms and a signed written agreement between you and Archi FX, the signed written agreement controls only for the specific subject matter of that conflict. All other provisions of these Terms remain fully enforceable.

No verbal statement, text message, email, phone call, meeting note, project discussion, or informal communication modifies these Terms unless expressly agreed to in a written document signed by an authorized representative of Archi FX.

4. Website Content Is Informational Only

The content on archifx.com is provided for general informational and marketing purposes. It may describe services, capabilities, examples, case studies, design approaches, technology stacks, workflows, strategies, or general business concepts.

Website content is not legal advice, financial advice, tax advice, cybersecurity advice, compliance advice, medical advice, engineering advice, or any other professional advice outside the scope of digital marketing and creative services.

You should not rely on website content as a substitute for professional advice from qualified legal, financial, tax, technical, compliance, engineering, or industry-specific professionals.

5. No Guarantee of Results

Archi FX may provide services related to website design, development, SEO, advertising, lead generation, content strategy, analytics, conversion improvement, automation, branding, hosting support, and marketing systems.

However, Archi FX does not guarantee any specific result, including but not limited to:

  • Search engine rankings.
  • Website traffic.
  • Lead volume.
  • Sales.
  • Revenue.
  • Conversion rates.
  • Return on investment.
  • Advertising profitability.
  • Approval by third-party platforms.
  • Search engine indexing.
  • Uptime by third-party hosts.
  • Email deliverability.
  • Social media engagement.
  • Business growth.
  • Customer acquisition.
  • Market response.
  • Google ranking position.
  • Google Business Profile performance.
  • Organic visibility.
  • Paid ad performance.
  • AI search visibility.
  • Map pack visibility.
  • Directory ranking.
  • Algorithmic treatment.
  • All marketing, SEO, advertising, analytics, and conversion-related services involve variables outside Archi FX’s control, including client budget, competition, industry conditions, seasonality, search engine algorithms, platform policy changes, user behavior, website history, brand reputation, offer quality, client follow-up, sales process, reviews, local competition, content approval, and third-party technical systems.
  • Archi FX will make reasonable professional efforts based on the agreed scope of work, but no statement by Archi FX shall be interpreted as a promise, warranty, or guarantee of a particular business outcome.

6. Experimental Software, Custom Tools, and Client Dashboards

Archi FX may create, configure, or provide access to custom tools, dashboards, portals, prototypes, landing page builders, lead tracking systems, traffic dashboards, internal admin panels, quote systems, form systems, analytics tools, AI-assisted workflows, automation systems, or other software-assisted tools.

These systems may be custom-built, experimental, evolving, or dependent on third-party platforms. They may not function like mass-market commercial software. They may require ongoing Archi FX maintenance, monitoring, hosting, updates, security review, database management, third-party account access, and technical support.

By using any Archi FX custom tool, dashboard, portal, backend system, or experimental software, you acknowledge and agree that:

  • The system is provided to support your business operations, marketing, analytics, or workflow, but it may not be error-free.
  • The system may require continued maintenance by Archi FX to remain functional, secure, compatible, and editable.
  • The system may depend on third-party platforms, APIs, libraries, hosting providers, databases, content delivery networks, analytics providers, payment processors, AI systems, email providers, plugin vendors, or software frameworks.
  • The system may change over time as updates, security patches, improvements, fixes, or third-party requirements are applied.
  • The system may contain bugs, limitations, incomplete features, deprecated components, browser compatibility issues, plugin conflicts, API limitations, or performance constraints.
  • The system should not be treated as permanent, standalone, enterprise-grade software unless expressly stated in a signed written agreement.
  • If you discontinue Archi FX services, fail to pay for maintenance, revoke access, migrate the system, alter the system, hire another provider, or attempt to self-manage the system, Archi FX is not responsible for any resulting loss of access, broken functionality, security issue, data issue, editability issue, downtime, compatibility problem, loss of reporting, or inability to modify the system.

7. Maintenance Dependency and Client Responsibility

Many websites, apps, landing pages, dashboards, plugins, forms, marketing systems, and digital tools require ongoing maintenance. This may include updates, backups, monitoring, content management, plugin updates, framework updates, database review, security patches, uptime review, DNS management, SSL management, analytics review, form testing, email testing, spam prevention, compatibility checks, and platform configuration.

You acknowledge that digital systems are not static products. Websites and applications can break, degrade, become insecure, become outdated, lose compatibility, or stop functioning due to circumstances outside Archi FX’s control.

These circumstances may include:

  • Hosting updates.
  • PHP, Node, React, Next.js, WordPress, plugin, theme, or database changes.
  • Browser updates.
  • Server updates.
  • DNS changes.
  • SSL certificate issues.
  • Email authentication changes.
  • API changes.
  • Platform policy changes.
  • Security threats.
  • Malware.
  • Third-party service outages.
  • Payment processor changes.
  • Search engine algorithm updates.
  • Analytics platform changes.
  • Advertising platform policy changes.
  • Domain expiration.
  • Client-side edits.
  • Unauthorized access.
  • Credential changes.
  • Failure to renew licenses.
  • Failure to maintain subscriptions.
  • Failure to pay hosting or software vendors.
  • If you do not maintain an active maintenance agreement with Archi FX, Archi FX has no obligation to monitor, repair, update, secure, restore, modify, or troubleshoot any website, system, dashboard, backend, hosting environment, plugin, form, integration, or digital asset.

8. Client Access, Ownership, and Editability

Unless otherwise stated in a signed written agreement, Archi FX may build websites, landing pages, dashboards, applications, backend tools, marketing systems, and custom digital infrastructure using a combination of open-source software, licensed tools, third-party platforms, proprietary workflows, custom code, templates, internal methods, AI-assisted systems, commercial plugins, hosting services, and Archi FX development processes.

Client ownership rights are limited to the final client-facing deliverables expressly paid for under the applicable project scope. Archi FX retains ownership of its internal processes, systems, source methodologies, reusable code libraries, frameworks, templates, design systems, prompts, development workflows, automation methods, configuration methods, proprietary tools, training materials, project management methods, and know-how.

Unless a signed written agreement specifically states otherwise, payment for a website or digital project does not automatically include:

  • Ownership of Archi FX’s internal tools.
  • Ownership of development files unrelated to the final deliverable.
  • Ownership of proprietary workflows.
  • Ownership of reusable code libraries.
  • Ownership of prompt libraries.
  • Ownership of unpublished design concepts.
  • Ownership of source strategy documents.
  • Ownership of server configuration scripts.
  • Ownership of custom deployment methods.
  • Ownership of third-party licenses.
  • Ownership of commercial software.
  • Ownership of AI workflow systems.
  • Ownership of backend tools not expressly sold as client-owned software.
  • A website or system may not be fully editable by the client or by another provider without Archi FX’s involvement. Some custom features, components, templates, server configurations, scripts, dashboards, integrations, or backend systems may require developer-level support.
  • If a client cancels service, moves hosting, changes vendors, changes credentials, removes Archi FX access, disables plugins, modifies code, edits databases, changes DNS, or alters the system, Archi FX is not responsible for preserving editability, functionality, appearance, performance, integrations, analytics, forms, automations, or backend access.

9. Third-Party Platforms and Services

Archi FX may use, recommend, configure, or integrate third-party services, including but not limited to:

  • Hosting providers.
  • Domain registrars.
  • DNS providers.
  • WordPress.
  • Elementor.
  • WooCommerce.
  • Shopify.
  • Webflow.
  • Next.js.
  • React.
  • Vercel.
  • DigitalOcean.
  • Supabase.
  • Stripe.
  • PayPal.
  • Google Analytics.
  • Google Search Console.
  • Google Ads.
  • Google Tag Manager.
  • Meta platforms.
  • LinkedIn Ads.
  • Mailchimp.
  • HubSpot.
  • GoHighLevel.
  • Termly.
  • Cloudflare.
  • Email providers.
  • CRM systems.
  • AI tools.
  • Stock asset providers.
  • Plugin vendors.
  • Theme vendors.
  • Security tools.
  • Backup systems.
  • Form tools.
  • Scheduling systems.
  • Payment systems.
  • Archi FX does not own or control third-party platforms unless expressly stated. Archi FX is not responsible for third-party outages, bugs, pricing changes, policy changes, rejected ads, suspended accounts, API changes, service interruptions, data loss, billing disputes, plugin conflicts, platform limitations, vendor support delays, or termination of third-party services.
  • Your use of third-party platforms is subject to the terms, policies, privacy notices, fees, and requirements of those third-party providers.
  • You are responsible for maintaining your own accounts, payment methods, licenses, subscriptions, access credentials, billing information, and compliance with third-party terms unless otherwise agreed in writing.

10. Hosting, Domains, DNS, and Email

Archi FX may assist with hosting, domains, DNS, SSL, website migration, email configuration, or server-related services. Unless Archi FX expressly agrees in writing to provide managed hosting or server administration, Archi FX is not responsible for hosting uptime, server performance, email delivery, DNS propagation, domain renewal, registrar issues, nameserver changes, SSL renewal, server security, or hosting provider support.

If Archi FX manages or coordinates hosting on your behalf, you remain responsible for timely payment of hosting, domain, software, license, and third-party service fees unless a signed agreement states otherwise.

Failure to pay hosting, domain, software, or license fees may result in downtime, data loss, suspension, deletion, broken email, loss of access, or permanent loss of website functionality.

Archi FX is not liable for any damages caused by expired domains, unpaid hosting, unpaid licenses, server outages, DNS errors, client-side configuration changes, third-party provider failures, email blacklisting, spam filtering, or unauthorized account access.

11. Website Security and Malware

Archi FX may provide security-related services such as plugin updates, backup configuration, malware cleanup, firewall configuration, monitoring, hardening, security plugin setup, access control recommendations, or hosting recommendations.

However, no website, server, plugin, platform, application, or digital system can be guaranteed to be completely secure.

You acknowledge that security threats evolve constantly and that websites may be vulnerable to hacking, malware, brute force attacks, credential theft, plugin vulnerabilities, server misconfiguration, outdated software, phishing, spam injection, database compromise, or other threats.

Unless expressly stated in a signed written agreement, Archi FX does not guarantee:

  • That a website will never be hacked.
  • That malware will never occur.
  • That all vulnerabilities will be detected.
  • That backups will always be available.
  • That recovery will always be possible.
  • That data will never be lost.
  • That all attacks will be prevented.
  • That a website will remain compliant with every security standard.
  • You are responsible for maintaining secure passwords, limiting user access, protecting credentials, avoiding unauthorized edits, keeping third-party accounts secure, and promptly notifying Archi FX of suspected security issues.
  • If you do not have an active maintenance or security agreement with Archi FX, Archi FX has no duty to monitor, secure, update, clean, restore, or repair your website or system.

12. Backups and Data Loss

Archi FX may configure or recommend backup systems, but backup availability depends on hosting providers, third-party tools, configuration, storage limits, payment status, retention windows, access permissions, and technical conditions.

Unless a signed written agreement expressly guarantees a specific backup system, Archi FX does not guarantee that backups will exist, be complete, be current, be restorable, or be free from corruption.

You are responsible for maintaining independent copies of important business records, website content, images, videos, customer records, form submissions, orders, reports, analytics, credentials, and other critical data.

Archi FX is not liable for data loss, missing backups, corrupted backups, deleted files, overwritten content, server failure, failed migrations, user error, plugin conflicts, hosting failure, malware damage, accidental deletion, or third-party system failure.

13. Client Content and Materials

You are solely responsible for all content, materials, information, images, videos, logos, trademarks, product information, service claims, pricing, testimonials, reviews, legal language, privacy notices, policies, warranties, guarantees, technical claims, industry claims, certifications, licenses, regulatory claims, and business information you provide to Archi FX.

You represent and warrant that you have all rights, licenses, permissions, and authority necessary to provide such materials and to allow Archi FX to use, modify, publish, display, reproduce, distribute, and incorporate them into your website, advertising, marketing, or digital systems.

You agree not to provide content that infringes intellectual property rights, violates privacy rights, violates publicity rights, contains unlawful material, contains misleading claims, violates advertising rules, violates platform policies, or violates applicable law.

Archi FX is not responsible for verifying the legal accuracy, regulatory compliance, ownership, truthfulness, completeness, or appropriateness of client-provided content unless expressly agreed in writing.

14. Accuracy of Business Claims

You are responsible for reviewing and approving all claims made on your website, landing pages, advertisements, content, proposals, videos, graphics, forms, brochures, or digital materials.

This includes claims about:

  • Licensing.
  • Insurance.
  • Certifications.
  • Experience.
  • Years in business.
  • Service areas.
  • Pricing.
  • Warranties.
  • Guarantees.
  • Product performance.
  • Technical capabilities.
  • Safety claims.
  • Environmental claims.
  • Health claims.
  • Legal compliance.
  • Industry compliance.
  • Customer results.
  • Case studies.
  • Testimonials.
  • Review counts.
  • Before publication, you must carefully review all content and notify Archi FX of any corrections. Approval by you, your employee, your contractor, or your representative constitutes acceptance of the content as accurate and authorized for publication.
  • Archi FX is not liable for claims, omissions, inaccuracies, misstatements, outdated information, compliance issues, or legal consequences arising from client-approved or client-provided content.

15. AI-Assisted Workflows

Archi FX may use AI-assisted tools, automation systems, language models, image tools, coding assistants, research tools, analytics tools, design tools, content tools, transcription tools, or other software-assisted workflows as part of its internal production process.

AI-assisted tools are used as production aids and do not replace professional judgment, client review, or final approval.

You acknowledge that AI-assisted outputs may contain errors, omissions, inaccuracies, stylistic inconsistencies, factual mistakes, code issues, or unintended similarities to existing material. Archi FX makes reasonable efforts to review work within the agreed scope, but you remain responsible for final review and approval of published materials.

Unless expressly stated in writing, Archi FX does not guarantee that AI-assisted content, code, imagery, strategy, or outputs are free from error, infringement risk, factual inaccuracy, or platform compliance issues.

You are responsible for reviewing and approving all final materials before publication or use.

16. Design, Creative Direction, and Revisions

Creative services are subjective. Archi FX may provide design, branding, layout, graphics, copy, video, animation, photography direction, prompts, interface design, user experience concepts, and other creative work.

Unless otherwise stated in a written agreement, projects include only the revisions expressly described in the proposal, invoice, or scope of work.

Additional revisions, redesigns, strategy changes, layout changes, content rewrites, scope changes, platform changes, design direction changes, or requests outside the original scope may require additional fees.

Client delays, unclear instructions, conflicting feedback, late-stage changes, failure to provide materials, repeated direction changes, or approvals followed by reversals may extend timelines and increase costs.

Archi FX is not responsible for delays caused by late client feedback, missing content, missing credentials, unpaid invoices, third-party delays, platform issues, or changes requested after approval.

17. Project Scope and Change Orders

Each project is limited to the specific services, pages, features, deliverables, functionality, integrations, revisions, and support described in the applicable written proposal, estimate, contract, or invoice.

Any work not expressly included in the written scope is excluded.

Examples of out-of-scope work may include:

  • Additional pages.
  • Additional forms.
  • Additional integrations.
  • Additional animations.
  • Additional custom code.
  • Additional design concepts.
  • Copywriting beyond the approved scope.
  • SEO beyond the approved scope.
  • Advanced analytics.
  • CRM integration.
  • Payment integration.
  • Custom backend development.
  • Plugin development.
  • Server administration.
  • Database repair.
  • Malware cleanup.
  • Speed optimization.
  • Accessibility remediation.
  • Legal compliance review.
  • Privacy policy drafting.
  • Terms drafting.
  • Advertising management.
  • Social media management.
  • Ongoing maintenance.
  • Training.
  • Post-launch support beyond the agreed period.
  • Out-of-scope work may require a new estimate, change order, or additional invoice. Archi FX may decline out-of-scope work at its discretion.

18. Timelines and Delivery Dates

Any timeline, launch date, delivery estimate, or project schedule provided by Archi FX is an estimate unless expressly stated in a signed written agreement as a firm deadline.

Timelines may be affected by:

  • Client delays.
  • Late approvals.
  • Missing content.
  • Missing credentials.
  • Unpaid invoices.
  • Third-party service delays.
  • Hosting issues.
  • Platform bugs.
  • Scope changes.
  • Revision cycles.
  • Technical issues.
  • Compliance reviews.
  • Vendor support delays.
  • Software conflicts.
  • Unexpected development complexity.
  • Archi FX is not liable for missed deadlines, delayed launches, lost business, lost revenue, lost opportunities, or other damages arising from project delays unless a signed written agreement expressly provides otherwise.

19. Payments, Deposits, and Invoices

Payment terms are governed by the applicable invoice, proposal, contract, or written agreement.

Unless otherwise agreed in writing, deposits, setup fees, project payments, monthly retainers, hosting fees, software fees, advertising management fees, maintenance fees, and service fees are non-refundable once work has begun, time has been reserved, access has been configured, strategy has been developed, software has been provisioned, or services have been performed.

Archi FX may pause work, withhold deliverables, disable access, suspend services, delay launch, remove unpaid work, or terminate services for unpaid invoices, failed payments, chargebacks, payment disputes, expired payment methods, or non-payment.

Client remains responsible for all amounts due, including late fees, collection costs, attorney’s fees, chargeback fees, and expenses incurred by Archi FX to collect unpaid balances, to the maximum extent permitted by law.

20. Recurring Services and Subscriptions

Archi FX may offer recurring services, including maintenance, hosting coordination, SEO, advertising management, content updates, analytics reporting, software support, dashboard access, CRM support, landing page management, platform support, or ongoing consulting.

Recurring services continue until canceled in accordance with the applicable written agreement or invoice terms.

Unless otherwise stated in writing, cancellation of recurring services does not entitle the client to a refund for prior payments, setup fees, completed work, active billing periods, or fees already incurred.

Upon cancellation, Archi FX may stop providing updates, monitoring, support, access, hosting coordination, reporting, analytics review, dashboard maintenance, platform support, software maintenance, security monitoring, content updates, or troubleshooting.

Cancellation may affect website performance, security, editability, analytics, lead tracking, access to tools, dashboard functionality, integrations, reporting, hosting, forms, automations, and ongoing marketing performance.

21. Chargebacks and Payment Disputes

You agree to contact Archi FX directly in writing before initiating any chargeback, payment reversal, bank dispute, or payment processor dispute.

Improper chargebacks may result in immediate suspension of services, disabling of access, removal of unpaid deliverables, termination of accounts, and collection action.

If you initiate a chargeback for work that was authorized, performed, delivered, partially delivered, reserved, or made available, you remain responsible for the disputed amount, any chargeback fees, collection costs, administrative costs, attorney’s fees, and related expenses to the maximum extent permitted by law.

22. Intellectual Property Rights

The archifx.com website, including its design, layout, text, graphics, images, videos, animations, code, branding, logos, service descriptions, methods, processes, design systems, interface concepts, and other content, is owned by Archi FX or its licensors and is protected by copyright, trademark, trade dress, and other intellectual property laws.

You may not copy, reproduce, modify, scrape, download, distribute, publish, reverse engineer, sell, license, create derivative works from, or exploit any part of archifx.com or Archi FX materials without prior written permission.

Archi FX retains ownership of its pre-existing materials, reusable materials, creative methods, development methods, code libraries, design systems, project workflows, internal tools, templates, prompts, technical processes, proprietary know-how, and business methods.

Client receives only the usage rights expressly granted in the applicable written agreement or by law after full payment of all amounts due.

23. Portfolio Rights

Unless a signed written agreement states otherwise, you grant Archi FX the right to display completed work, project screenshots, website links, branding examples, videos, animations, design samples, before-and-after examples, case studies, public performance summaries, and general descriptions of services performed in Archi FX’s portfolio, website, social media, proposals, advertising, presentations, and marketing materials.

Archi FX may identify you or your company as a client unless confidentiality obligations in a signed written agreement prohibit such identification.

Archi FX will not intentionally disclose confidential non-public business information in portfolio materials, but public-facing website work, published marketing materials, publicly available designs, and live website content may be referenced.

24. Confidentiality

During a project, you may provide Archi FX with business information, credentials, strategy, pricing, customer information, vendor information, account access, files, designs, or other materials.

Archi FX will make reasonable efforts to protect confidential information from unauthorized disclosure. However, confidentiality does not apply to information that:

  • Is publicly available.
  • Was known before disclosure.
  • Was independently developed.
  • Was obtained from a third party without restriction.
  • Must be disclosed by law, subpoena, court order, or government request.
  • Is necessary to disclose to vendors, contractors, hosting providers, software providers, payment processors, or technical support providers to perform services.
  • You are responsible for limiting the sensitive information you provide and for using secure methods to share passwords, credentials, financial information, regulated data, or private customer information.

25. Credentials and Account Access

If you provide Archi FX with passwords, API keys, hosting access, domain access, email access, CMS access, advertising access, analytics access, CRM access, database access, or other credentials, you represent that you are authorized to provide such access.

You are responsible for managing user permissions, revoking access when appropriate, changing passwords when needed, and securing your accounts.

Archi FX is not liable for unauthorized access, account compromise, credential misuse, employee misuse, contractor misuse, client-side sharing, weak passwords, reused passwords, phishing, or third-party security failures.

Archi FX may refuse to perform work if access is incomplete, insecure, unauthorized, or insufficient.

26. Acceptable Use

You agree not to use archifx.com, Archi FX systems, client portals, dashboards, forms, software, or services for any unlawful, harmful, abusive, fraudulent, infringing, or malicious purpose.

You may not:

  • Attempt to hack, disrupt, overload, scan, or attack Archi FX systems.
  • Attempt to gain unauthorized access to any account, server, database, portal, or system.
  • Upload malware, viruses, malicious scripts, or harmful code.
  • Submit false, misleading, defamatory, obscene, infringing, or unlawful content.
  • Use Archi FX systems to send spam or unlawful communications.
  • Scrape, copy, or harvest website content.
  • Reverse engineer custom tools, dashboards, workflows, or code.
  • Circumvent security controls.
  • Misrepresent your identity or authority.
  • Use Archi FX materials to compete directly with Archi FX.
  • Use any Archi FX system in violation of applicable law or third-party platform rules.
  • Archi FX may restrict, suspend, or terminate access to any user or client who violates these Terms.

27. Prohibited Client Content and Projects

Archi FX may refuse, suspend, or terminate work involving content, businesses, campaigns, or projects that Archi FX determines, in its sole discretion, are unlawful, deceptive, abusive, exploitative, infringing, unsafe, excessively risky, reputationally harmful, or inconsistent with Archi FX’s business standards.

Archi FX may decline work involving:

  • Illegal products or services.
  • Fraudulent claims.
  • Misleading advertising.

28. Advertising and Platform Compliance

If Archi FX provides advertising, tracking, analytics, landing page, or marketing services, you acknowledge that advertising platforms and analytics platforms are controlled by third parties.

Archi FX does not guarantee approval, placement, pricing, impressions, clicks, conversions, account status, cost per lead, return on ad spend, or continued access to any advertising platform.

You are responsible for ensuring that your products, services, claims, licenses, offers, promotions, guarantees, pricing, privacy practices, and business operations comply with all applicable laws and advertising platform policies.

Archi FX is not responsible for rejected ads, suspended accounts, disapproved keywords, tracking discrepancies, inaccurate platform reporting, click fraud, competitor activity, invalid traffic, policy enforcement, billing changes, or ad account limitations imposed by third parties.

29. Search Engine Optimization

SEO performance may fluctuate and may be affected by competition, website age, domain history, content quality, backlinks, user behavior, reviews, search intent, location, algorithm updates, technical issues, hosting performance, client approvals, and ongoing investment.

No SEO statement by Archi FX is a guarantee of ranking, indexing, traffic, leads, revenue, or search visibility.

30. Accessibility

Archi FX may design and develop websites with reasonable attention to usability and accessibility. However, unless a signed written agreement expressly includes accessibility auditing, remediation, legal compliance, or conformance with a specific accessibility standard, Archi FX does not guarantee that any website, application, document, media file, or digital system fully complies with the Americans with Disabilities Act, WCAG, Section 508, or any other accessibility law or standard.

This may include, without limitation, the Telephone Consumer Protection Act, CAN-SPAM Act, state privacy laws, platform rules, carrier rules, and industry guidelines.

Archi FX does not guarantee that any form, checkbox, disclosure, workflow, or campaign satisfies your legal obligations.

You should consult qualified legal counsel before launching email, SMS, remarketing, retargeting, lead generation, or automated communication campaigns.

34. E-Commerce, Payments, and Financial Transactions

Your privacy practices.

Your email, SMS, tracking, or marketing practices.

Your failure to maintain licenses, permits, insurance, or certifications.

Your violation of third-party rights.

Your violation of law.

Your misuse of third-party platforms.

Your unauthorized access or credential sharing.

Any claim that client-provided content infringes, misleads, defames, violates privacy rights, violates publicity rights, or violates applicable law.

This indemnification obligation survives termination of your relationship with Archi FX.

41. Suspension and Termination

Archi FX may suspend or terminate access to archifx.com, services, systems, dashboards, portals, hosting coordination, maintenance, software support, development work, or deliverables if:

  • You violate these Terms.
  • You fail to pay invoices.
  • You initiate improper chargebacks.
  • You misuse Archi FX systems.
  • You provide false or misleading information.
  • You engage in abusive or threatening conduct.
  • You request unlawful or unethical work.
  • You create legal, financial, technical, security, reputational, or operational risk.
  • You fail to cooperate with reasonable project requirements.
  • You revoke necessary access.
  • You interfere with Archi FX’s ability to perform services.
  • Upon suspension or termination, Archi FX may stop work, restrict access, disable unpaid features, pause campaigns, withhold deliverables, remove access to proprietary systems, and take reasonable steps to protect its rights.
  • Termination does not waive any amounts owed to Archi FX.

42. Client Cancellation

You may cancel services only in accordance with the applicable written agreement, proposal, invoice terms, or subscription terms.

Cancellation does not relieve you of the obligation to pay for work already performed, time reserved, services rendered, third-party costs incurred, software provisioned, licenses purchased, hosting costs incurred, advertising management performed, or project phases already started.

After cancellation, Archi FX is not responsible for ongoing maintenance, security, hosting, updates, backups, monitoring, support, repairs, editability, analytics, tracking, lead forms, SEO performance, advertising performance, software compatibility, or third-party platform issues.

If you request migration, transfer, export, training, documentation, credential review, backup preparation, or transition support, such services may require additional fees.

43. Abandoned Projects

A project may be considered abandoned if the client fails to respond, provide required materials, provide required approvals, provide access, pay invoices, or otherwise cooperate for a period of thirty days or more.

If a project is abandoned, Archi FX may pause or close the project. Restarting an abandoned project may require payment of outstanding balances, restart fees, updated pricing, revised timelines, or a new agreement.

Deposits, partial payments, and fees paid for abandoned projects are non-refundable to the maximum extent permitted by law.

44. Dispute Resolution

Before filing any legal action, you agree to first provide Archi FX written notice of the dispute and allow Archi FX a reasonable opportunity to respond and attempt to resolve the matter.

Any dispute arising out of or relating to these Terms, archifx.com, any Archi FX service, any project, any deliverable, any invoice, or any relationship with Archi FX shall be governed by the laws of the State of Florida, without regard to conflict of law principles.

Unless otherwise required by law, any legal action shall be brought exclusively in the state or federal courts located in Florida. You consent to the personal jurisdiction and venue of such courts.

To the maximum extent permitted by law, each party waives the right to a jury trial in any dispute arising out of or relating to these Terms or any relationship with Archi FX.

45. Class Action Waiver

To the maximum extent permitted by law, you agree that any claim or dispute against Archi FX must be brought only in your individual capacity and not as a plaintiff or class member in any class action, collective action, representative action, consolidated action, or private attorney general action.

46. Attorney’s Fees

If Archi FX must take action to enforce these Terms, collect unpaid amounts, respond to a chargeback, defend against a claim, or protect its rights, Archi FX is entitled to recover its reasonable attorney’s fees, court costs, collection costs, expert fees, administrative costs, and related expenses to the maximum extent permitted by law.

47. Force Majeure

Archi FX is not liable for delay, failure, interruption, or non-performance caused by events beyond its reasonable control, including but not limited to:

  • Natural disasters.
  • Storms.
  • Floods.
  • Fire.
  • Power outages.
  • Internet outages.
  • Cyberattacks.
  • Server outages.
  • Hosting provider failures.
  • Third-party platform outages.
  • Labor disruptions.
  • Government action.
  • War.
  • Terrorism.
  • Pandemics.
  • Supply chain issues.
  • Software failures.
  • API failures.
  • Payment processor outages.
  • Search engine changes.
  • Advertising platform outages.
  • Acts or omissions of third parties.
  • Events beyond Archi FX’s reasonable control extend deadlines and excuse performance for the duration of the disruption.

48. No Waiver

Failure by Archi FX to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Any waiver must be in writing and signed by an authorized representative of Archi FX.

49. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or removed if modification is not possible. The remaining provisions remain in full force and effect.

50. Assignment
